1st year: (33 + 14 + 3.3 + 8) = 58.3

Base offerred is lower than current, tried Negotiating for a higher level and base, no reponse. Offer expired. No counter offers.

Salary: Rs. 34,00,000/-
Stock bonus: USD 80,000 (4 years)
Joining bonus: 10L
Total comp (Salary + Bonus + Stock):
1st year: 68.8 LPA
2nd year: 58.8 LPA

Current base is 36 and locn is Bangalore.
Not so willing to accept given my yoe and current comp. Any suggestions.
