I need urgent help.

I am holiding offers from Walmart and Morgan Stanley.

Compensation details:
Walmart : 19 Base + 96k PF + 20% bonus + 2.5 lac stocks (vesting over 4 years)
Morgan Stanley : 22 base + 1.3lac PF + 15% bonus + 2.5lac relocation bonus

My experience :

2.10 years exp (service based companies)
current ctc : 12 fixed

notice left : 1.5 week

Please suggest me how to negotiate. I'm getting low balled by both companies.
